TERMS AND CONDITIONS
Promotional Offer – 20% discount on final two months
- DEFINITIONS
“Company” – Refers to the service provider offering aggregation or platform services.
“Operator” – Refers to the contracting B2C license holder entering into a commercial agreement.
“Existing Operator” – Refers to a client with an active commercial agreement prior to the promotion start date.
“GGR” – Means Gross Gaming Revenue as defined in the executed Master Services Agreement (MSA).
“Monthly Minimum Guarantee” – Refers to the fixed minimum commercial fee payable each month.
“New Game Providers” – Refers to suppliers not previously live with the Operator through the Company at the time of promotion enrolment.
“Promotion” – Refers to the 20% discount mechanism described herein.
Contract & Commercial Requirements
2. PROMOTION PERIOD
2.1 Operators must execute a signed agreement or promotional addendum within ninety (90) calendar days from the date of initial engagement.
2.2 Agreements or addendums signed outside this period will not qualify.
3. MINIMUM TERM CONTRACT
3.1 Participation requires a minimum fixed contractual commitment of twelve (12) consecutive months.
3.2 Early termination, suspension for breach, or inactivity may void the promotion at the Company’s sole discretion.
4. MINIMUM MONTHLY COMMERCIAL REQUIREMENT
4.1 The Operator agrees to a minimum Monthly Guarantee of €10,000 per month.
4.2 The Monthly Guarantee shall be payable regardless of generated GGR and will be deductible against GGR-based commercial fees.
4.3 Failure to meet payment obligations or maintain the minimum monthly threshold may result in immediate removal from the promotion.
5. EXISTING CLIENT QUALIFICATION REQUIREMENTS
5.1 Existing Operators must integrate a minimum of five (5) New Game Providers through the Company to qualify.
5.2 Only GGR generated from these newly added providers shall be considered eligible promotional revenue for discount calculations where applicable.
5.3 The Company reserves the right to verify integration dates, go-live status, and revenue allocation across providers.
6. DISCOUNT STRUCTURE
6.1 The Operator will receive a twenty percent (20%) discount applied to the last two (2) months of the initial contract term.
6.2 The discount applies only to applicable GGR-based commercial fees after deduction of any Monthly Guarantee obligations.
7. CALCULATION METHODOLOGY
7.1 The discounted amount shall be calculated using the average monthly GGR generated during the first ten (10) months of the contract period.
7.2 The GGR eligible for discount during months eleven (11) and twelve (12) shall be capped at this calculated average.
7.3 Any GGR exceeding the established average during the final two months shall be invoiced at standard commercial rates.
GOVERNANCE & LEGAL
8. ANTI-MANIPULATION CLAUSE
8.1 The Operator agrees not to artificially increase activity, shift traffic between providers, or manipulate reporting to maximise promotional benefits.
8.2 The Company reserves the right to audit reporting sources, provider allocation, and revenue segmentation if irregular activity is detected.
9. ELIGIBILITY CONDITIONS
9.1 The Operator must onboard via the promotion-specific landing page.
9.2 The Operator must remain in good commercial standing, including full payment of Monthly Guarantees and invoices.
10. NON-TRANSFERABILITY
10.1 This promotion is non-transferable and may not be combined with other discounts, rebates, or special commercial terms unless explicitly approved in writing.
11. MODIFICATION AND WITHDRAWAL
11.1 The Company reserves the right to amend, suspend, or withdraw the promotion for future applicants at any time without affecting existing signed agreements.
12. GOVERNING AGREEMENT
12.1 These promotional terms supplement, but do not replace, the Master Services Agreement.
12.2 In case of conflict, the signed commercial agreement shall prevail.
13. GOVERNING LAW
13.1 Unless otherwise specified in the MSA, these terms shall be governed by the jurisdiction agreed within the Operator’s primary service contract.
